Terms of service

These terms are the agreement between VUUN LTD ("we"), a company registered in England & Wales under company number 13160975 with its registered office at 128 City Road, London EC1V 2NX, United Kingdom, and the business that creates a workspace on Vuun Connector ("you"). By creating a workspace you accept them, together with the privacy policy and the data processing agreement, which is an annex to these terms and is accepted with them. The service is offered to businesses, not to consumers.
1. The service
Vuun Connector lets you connect a WhatsApp Business account and phone number that you own, send template messages to your customers through our API and panel, receive the messages your customers send you on a webhook to your own system, and see the status of all of it. We provide the software; the messages themselves are carried by the WhatsApp Business Platform under your own agreement with Meta.
2. Your account
- You must give accurate details at signup, including your country and your industry. Some industries are not permitted on the WhatsApp Business Platform; a workspace whose declared industry is restricted may use the sandbox but not live messaging until we have reviewed it.
- You are responsible for everyone you invite to your workspace, for their actions, and for keeping API keys and webhook secrets confidential. Tell us at once if you believe a key has been exposed; you can revoke and rotate keys yourself in the panel.
- Every workspace must keep at least one owner.
3. Your WhatsApp Business account
- You connect an account and number that belong to you, through Meta's Embedded Signup, and you may disconnect them at any time. We never register a number in our name and we never remove your registration when you leave.
- Your use of WhatsApp is governed by Meta's WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, as Meta publishes them. You must comply with them; we cannot override them.
- Meta charges for messages on the WhatsApp Business Platform. Those charges are billed by Meta to your own payment method, at Meta's rates. They are not part of our fees. The figures we show in the panel are estimates and Meta's invoice prevails.
- Meta decides template approval, display-name approval, quality ratings and messaging limits, and may restrict an account. We show you those decisions and warn you when a rating drops, but we are not responsible for them.
4. Acceptable use
- Consent is your responsibility. You may only message people who have agreed to receive messages from you on WhatsApp, and you must keep evidence of that consent. You confirm this at signup, and you must honour a request to stop.
- You must not send unsolicited or bulk marketing outside what the WhatsApp Business Messaging Policy allows, nor prohibited content, nor use the service to scan or enumerate phone numbers.
- You must not attempt to access another customer's workspace or data, interfere with the service, or exceed the limits of your plan by technical means.
- We may suspend live messaging on a workspace, after notice where practical, if its traffic breaches these rules, harms the quality rating of the shared platform, or is the subject of a complaint from Meta. Inbound messages continue to be recorded during a suspension.
5. Trial
A new workspace starts with 14 days of Growth-plan features without a card. During the trial the sandbox is unlimited; live messaging is limited to 100 messages and 1 number. When the trial ends without a plan, the panel stays open and inbound messages continue to be recorded for 30 days, but the API stops accepting sends until a plan is chosen.
6. Fees and payment
- Plans and prices are on the pricing page, in pounds sterling and excluding VAT, which is added where it applies. The subscription is billed monthly in advance; usage above the plan's allowance is billed at the end of the month at the plan's overage rate.
- A billable message is an outbound message accepted by WhatsApp. Rejected requests, messages Meta refuses, inbound messages, webhook deliveries and sandbox traffic are not billed.
- When a workspace passes its allowance we tell you at 80% and again at 100%. Ordinary traffic is stopped at 120% of the allowance unless you have chosen to allow unlimited overage; one-time verification codes are never stopped and continue at the overage rate.
- Payment is by card through Stripe. Upgrades take effect immediately and are prorated; downgrades at the end of the billing period.
- If a payment fails we retry and remind you. After 14 days the workspace is suspended: outbound messaging stops while inbound messages continue to be recorded and delivered. If the invoice is still unpaid after a further 30 days the workspace is closed under section 9. When payment arrives the workspace is restored.
- We may change prices with at least 30 days' notice by e-mail.
7. Availability and support
We work to keep the service available at all times and tell you in advance of planned maintenance where we can. Support is by e-mail with the response time of your plan; Enterprise customers have a service-level agreement in their order form. Except for that agreement, we do not promise a particular level of availability, and we are not responsible for the availability of WhatsApp, Meta's systems or your own.
8. Data
- For the messages and contact data of your customers you are the data controller and we are your processor, under the data processing agreement annexed to these terms, which sets out the sub-processors we use, the hosting region and our security measures.
- We keep message data for the window of your plan and delete it after; the periods are in the privacy policy. One-time codes are never written to the database or to a log.
- You may obtain an export of your messages, contacts, templates and usage at any time and for 30 days after your workspace is closed.
- Our staff open a workspace only for support. Every such access is recorded in your audit log, and you can switch the access off in your settings.
9. Term and termination
- The agreement runs from the creation of the workspace until it is closed. You may close your workspace at any time from the settings; fees already paid for the current period are not refunded.
- We may close a workspace on 30 days' notice, or without notice if it seriously or repeatedly breaches section 4 or remains unpaid under section 6.
- On closure: your subscription is cancelled; our application is unsubscribed from your WhatsApp account and your access token is deleted, while your number and account stay yours; API keys are revoked and webhooks paused; for 30 days you can obtain an export of your data and see your invoices; on day 30 all workspace data is permanently deleted, as described on the data deletion page.
10. Intellectual property
The service, its software, documentation and marks are ours or our licensors'. You receive a non-exclusive, non-transferable right to use the service for your business while this agreement lasts. Your data, templates and content remain yours; you grant us the licence needed to process them for the service. We may use suggestions you give us without obligation. WhatsApp and Meta are trademarks of their owners; we are an independent company and nothing in the service implies their endorsement.
11. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for this agreement, for as long as it stays non-public, except where the law or a court requires disclosure.
12. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- Subject to that, neither party is liable to the other for loss of profit, revenue, business or data, or for any indirect or consequential loss.
- Subject to that, our total liability under this agreement in any twelve-month period is limited to the fees you paid us in that period.
- The service is provided as described; we make no other warranty, express or implied. You are responsible for the content of your messages, for the consent of the people you send them to, and for how your own systems handle what we deliver to them.
13. Changes to these terms
We may update these terms. Changes that reduce your rights or increase your obligations are announced by e-mail at least 30 days before they take effect; continuing to use the service after that date is acceptance. The date at the top of this page records the current version.
14. General
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any part of them is found unenforceable the rest stands. Neither party may assign the agreement without the other's consent, except to a successor of its business. Notices are by e-mail: to you at your workspace owner's address, to us at [email protected].
